Rating Recipient Terms of Service
FHR Network Rating Recipient Terms and Conditions as of August 19, 2016.
Rapid Ratings has been authorized by our FHR Network customer (the “Customer”) to distribute information to an addressed recipient (the “Recipient”). The Recipient will need to enter their email address as the password for the information in order to receive Customer’s FHR, and by doing so the Recipient hereby acknowledges and agrees to be legally bound by the following terms and conditions:
A Financial Health Rating (FHR®) from Rapid Ratings is not a recommendation or opinion that is intended to substitute for a financial adviser’s or investor’s independent assessment of whether to buy, sell or hold any financial products. This information and the related FHRs™ and related analysis provided in the reports by Rapid Ratings do not represent an offer to trade in securities.
A FHR is a statement of opinion objectively created through the application of Rapid Ratings’ proprietary software logic to information about the entity from publicly available information, or with respect to private company ratings, information provided by Customer or Customer’s counterparty. Rapid Ratings’ software is a proprietary quantitative system that analyzes financial information contained in publicly available company filings made by issuers pursuant to applicable securities laws or private company financial statements provided by Customer. Rapid Ratings receives the public company filings from a third party vendor, and obtains the private company financial statements from Customer. Rapid Ratings is not responsible for the accuracy of any private company financial statements provided by Customer. Rapid Ratings does not receive or rely on any other information from outside sources in producing an FHR® and does not use any other analytical methods to produce an FHR®.
Rapid Ratings provides no guarantee with respect to the accuracy or completeness of the data relied upon, nor the conclusions derived from the data. Each FHR® is a relative, probabilistic assessment of the credit risk of the relevant entity and its potential to meet financial obligations. It is not a statement that default will or will not occur given that circumstances change and management can adopt new strategies.
Reports have been prepared at the request of, and for the purpose of, the subscribers to Rapid Ratings service only. Neither Rapid Ratings nor any of its employees accept any responsibility on any ground whatsoever, including liability in negligence, to any other person, including without limitation, Recipient. Finally, Rapid Ratings and its employees accept no liability whatsoever for any direct, indirect or consequential loss of any kind arising from the use of its ratings and rating research in any way whatsoever, unless Rapid Ratings is negligent in misinterpreting or manipulating the data, in which case, Rapid Ratings maximum liability to Customer is the amount of the fee for the report.
RECIPIENT ACKNOWLEDGES THAT ANY INFORMATION PROVIDED IN THE FHR® IS NOT INTENDED TO BE A SUBSTITUTE FOR A FINANCIAL ADVISOR’S OR INVESTOR’S INDEPENDENT ASSESSMENT OF WHETHER TO BUY, SELL, OR HOLD ANY FINANCIAL PRODUCTS. RAPID RATINGS IS NOT AN INVESTMENT ADVISOR. THE INFORMATION PROVIDED BY THE FHR® IS DERIVED OBJECTIVELY THROUGH RAPID RATINGS FROM INFORMATION PROVIDED TO RAPID RATINGS BY CUSTOMER. THIS INFORMATION IS AN OBJECTIVE AND INDEPENDENT REFERENCE SOURCE, WHICH SHOULD BE USED IN CONJUNCTION WITH OTHER INFORMATION IN FORMING THE BASIS FOR AN INVESTMENT DECISION. RAPID RATINGS PROVIDES NO GUARANTEE WITH RESPECT TO THE ACCURACY OR COMPLETENESS OF THE FHR®, NOR THE CONCLUSIONS DERIVED FROM THE FHR®. RAPID RATINGS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY TRADING OR INVESTMENT DECISIONS OR ANY OTHER BUSINESS DECISION BASED ON THE FHR®.
Recipient shall not disclose the FHR® received from Rapid Ratings to any other party without the prior written consent of Rapid Ratings, which consent may be withheld at Rapid Ratings sole discretion.
